1. Acceptance of Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and New To Canada (“Company,” “we,” “us,” or “our”) governing your access to and use of the New To Canada platform, including all associated features, tools, content, and services (collectively, the “Service”).

By accessing, browsing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, our Cookie Policy, and our Disclaimer, each of which is incorporated herein by reference. If you do not agree to these Terms in their entirety, you must immediately discontinue use of the Service.

You represent and warrant that you are at least sixteen (16) years of age, or the age of majority in your province or territory of residence, whichever is greater. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Service

New To Canada is a web-based settlement guide platform designed to assist newcomers in navigating their transition to life in Canada. The Service provides, without limitation, the following features:

  • Personalized settlement recommendations and task tracking based on immigration pathway and province
  • An AI-powered chat assistant for settlement-related inquiries
  • Community forums for user discussion and peer support
  • Document storage and organization tools
  • Local service discovery powered by location-based search
  • Settlement journey milestone tracking, badges, and achievements
  • Government document and form reference links

THE SERVICE IS NOT A SUBSTITUTE FOR PROFESSIONAL IMMIGRATION, LEGAL, FINANCIAL, OR TAX ADVICE. The Service is provided for general informational and educational purposes only. Refer to our Disclaimer for further details.

3. User Accounts

3.1 Registration

Certain features of the Service require you to create a user account (“Account”). When registering, you must provide accurate, current, and complete information, including a valid email address and a secure password. You agree to update your Account information promptly to keep it accurate and current.

3.2 Account Security

You are solely responsible for maintaining the confidentiality of your Account credentials and for all activities that occur under your Account. You agree to notify us immediately of any unauthorized access to or use of your Account. We shall not be liable for any loss or damage arising from your failure to maintain the security of your Account credentials.

3.3 One Account Per Person

Each individual may maintain only one (1) Account. Creating multiple Accounts for the purpose of circumventing restrictions, manipulating community features, or abusing the Service is strictly prohibited and may result in immediate termination of all associated Accounts.

3.4 Account Suspension and Termination

We reserve the right to suspend, disable, or terminate your Account, with or without notice, for any violation of these Terms, or for any conduct that we, in our sole discretion, determine to be harmful to other users, the Service, or our legitimate business interests.

4. Subscription Plans and Payment

4.1 Service Tiers

The Service may be offered in free and paid subscription tiers. The features available to each tier are described on the Service and may be modified from time to time at our discretion.

4.2 Payment Processing

Payments for paid subscription plans are processed by our third-party payment processor. By subscribing to a paid plan, you agree to pay all applicable fees and authorize the payment processor to charge your designated payment method. All fees are stated in Canadian Dollars (CAD) unless otherwise indicated.

4.3 Cancellation and Refunds

You may cancel your paid subscription at any time through your Account settings. Upon cancellation, you will retain access to paid features until the end of your current billing period. Refund requests submitted within thirty (30) days of the initial subscription purchase will be honored. Refund requests after this period are at our sole discretion.

4.4 Price Changes

We reserve the right to modify subscription pricing at any time. We will provide at least thirty (30) days’ notice of any price increase. Your continued subscription after the effective date of a price change constitutes your acceptance of the new pricing.

5. User Content and Community Guidelines

5.1 Ownership of User Content

You retain all intellectual property rights in and to the content you create, upload, or submit to the Service (“User Content”), including community posts, replies, uploaded documents, and profile information. We do not claim ownership of your User Content.

5.2 License Grant

By submitting User Content to the Service, you grant us a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, display, and process your User Content solely for the purpose of operating, maintaining, and improving the Service. For community posts and replies, this license includes the right to display such content to other users of the Service.

5.3 Community Guidelines

When participating in community forums, you agree not to post or transmit content that:

  • Is defamatory, obscene, abusive, threatening, harassing, or hateful towards any individual or group
  • Constitutes discrimination or hate speech based on race, ethnicity, national origin, religion, gender, sexual orientation, disability, or immigration status
  • Contains spam, unsolicited advertising, or commercial solicitations
  • Promotes illegal activities or violates any applicable law or regulation
  • Purports to provide immigration, legal, financial, or medical advice without appropriate qualifications and disclaimers
  • Impersonates any person or entity, or falsely claims affiliation with any person or entity
  • Contains malicious code, viruses, or any software designed to disrupt or damage the Service
  • Infringes upon the intellectual property rights of any third party
  • Contains personal information of third parties without their consent

5.4 Content Moderation

We reserve the right, but are not obligated, to monitor, review, edit, or remove any User Content at our sole discretion, with or without notice, for any reason, including but not limited to violations of these Terms or applicable law.

5.5 Document Uploads

You are solely responsible for ensuring that you have the legal right to upload any documents to the Service. You represent and warrant that your uploaded documents do not infringe upon the rights of any third party and do not contain unlawful content.

6. AI-Powered Features

The Service incorporates artificial intelligence technologies provided by OpenAI, Inc. to deliver personalized settlement recommendations and a chat assistant. By using these features, you acknowledge and agree to the following:

  • AI-generated content is provided for informational and educational purposes only and does not constitute professional advice of any kind, including immigration, legal, financial, or medical advice.
  • AI-generated content may contain inaccuracies, errors, or outdated information. You should not rely on AI outputs as the sole basis for any decision.
  • Your profile data and chat messages are transmitted to OpenAI for processing as described in our Privacy Policy.
  • We do not guarantee the availability, accuracy, or reliability of AI-powered features. These features may be modified, suspended, or discontinued at any time.
  • You are solely responsible for independently verifying any information provided by AI-powered features before acting upon it.

7. Third-Party Services and Links

The Service integrates with and contains links to third-party services, websites, and resources, including but not limited to:

  • Google Firebase: Authentication, database, and storage infrastructure
  • OpenAI: Artificial intelligence features
  • Google Places API: Local service and business discovery
  • Government of Canada websites: Immigration forms, documents, and official resources
  • Provincial and territorial government websites: Province-specific forms and services

We are not responsible for the content, accuracy, availability, practices, or policies of any third-party services or websites. The inclusion of any third-party link or service integration does not imply our endorsement, sponsorship, or recommendation thereof. Your use of third-party services is governed by those services’ own terms and privacy policies. You access third-party services at your own risk.

8. Intellectual Property

The Service, including its design, layout, graphics, logos (including the “New To Canada” name and maple leaf icon), text, software, algorithms, and all other proprietary content and materials, is owned by or licensed to New To Canada and is protected by Canadian and international copyright, trademark, patent, trade secret, and other intellectual property laws.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial settlement purposes. This license does not include the right to:

  • Copy, modify, distribute, sell, lease, or sublicense any part of the Service
  • Reverse engineer, decompile, or disassemble any software used in the Service
  • Use any data mining, robots, scraping, or similar data-gathering tools on the Service
  • Remove, alter, or obscure any proprietary notices, labels, or marks on the Service
  • Use the Service to develop a competing product or service

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND TITLE.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT THE ACCURACY, COMPLETENESS, RELIABILITY, OR TIMELINESS OF ANY INFORMATION PROVIDED THROUGH THE SERVICE, INCLUDING AI-GENERATED CONTENT, GOVERNMENT DOCUMENT LINKS, AND THIRD-PARTY SERVICE INFORMATION.

IN NO EVENT SHALL NEW TO CANADA, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNTS YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED CANADIAN DOLLARS (CAD $100.00).

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liability. In such jurisdictions, our liability shall be limited to the greatest extent permitted by applicable law.

10. Disclaimer of Professional Advice

New To Canada is not an immigration consultancy, law firm, accounting firm, or government agency. The information and tools provided through the Service do not constitute immigration advice, legal advice, financial advice, tax advice, or any other form of professional advice. You acknowledge and agree that any decisions you make based on information obtained through the Service, including AI-generated recommendations, are made at your own risk. You are strongly encouraged to consult a licensed Regulated Canadian Immigration Consultant (RCIC), an immigration lawyer who is a member of a Canadian provincial or territorial law society, or other qualified professional before making any immigration-related decisions.

11. Indemnification

You agree to indemnify, defend, and hold harmless New To Canada, its directors, officers, employees, agents, affiliates, and licensors from and against any and all claims, demands, actions, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or in connection with: (a) your use of or access to the Service; (b) your User Content; (c) your violation of these Terms; (d) your violation of any applicable law, regulation, or third-party right; or (e) any dispute between you and a third party arising from your use of the Service.

12. Termination

Termination by You: You may terminate your Account at any time by deleting your Account through the Service or by contacting us at legal@newtocanada.com. Upon termination, your right to access and use the Service will cease immediately.

Termination by Us: We reserve the right to suspend, disable, or permanently terminate your Account and access to the Service, with or without notice, for any reason, including but not limited to: (a) violation of these Terms; (b) suspected fraudulent, abusive, or illegal activity; (c) extended periods of inactivity; or (d) upon our decision to discontinue the Service or any part thereof.

Effect of Termination: Upon termination, all licenses and rights granted to you under these Terms shall immediately cease. Sections of these Terms that by their nature should survive termination shall survive, including but not limited to Sections 5.2 (License Grant), 9 (Limitation of Liability), 11 (Indemnification), 13 (Governing Law), and 15 (Severability). 13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of the Province of Ontario, and you hereby consent to the personal and exclusive jurisdiction of such courts.

Prior to initiating any formal legal proceedings, you agree to first attempt to resolve any dispute informally by contacting us at legal@newtocanada.com. We will endeavour to resolve the dispute within thirty (30) days of receipt of your notice. If the dispute cannot be resolved informally within this period, either party may then pursue formal legal remedies.

14. Compliance with Canada’s Anti-Spam Legislation (CASL)

In compliance with Canada’s Anti-Spam Legislation, S.C. 2010, c. 23 (“CASL”), we adhere to the following practices:

  • Transactional Messages: Communications that are necessary for the operation of your Account (including account verification, password resets, security alerts, and service notifications) are sent without requiring additional consent, as they fall within the transactional message exemption under CASL.
  • Commercial Electronic Messages: Any commercial electronic messages (including feature announcements, promotions, newsletters, or marketing communications) will only be sent with your express consent, obtained at the time of registration or through a subsequent consent mechanism.
  • Unsubscribe Mechanism: All commercial electronic messages will include a functional unsubscribe mechanism, and we will process unsubscribe requests within ten (10) business days as required by CASL.
  • Sender Identification: All electronic messages sent by us will include our identity, contact information, and a valid mailing address, in compliance with CASL sender identification requirements.

15. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable, and the remaining provisions of these Terms shall continue in full force and effect. The invalidity or unenforceability of any provision in one jurisdiction shall not affect the validity or enforceability of that provision in any other jurisdiction.

16. Entire Agreement

These Terms, together with our Privacy Policy, Cookie Policy, and Disclaimer, constitute the entire agreement between you and New To Canada with respect to the subject matter hereof and supersede all prior or contemporaneous communications, representations, understandings, and agreements, whether written or oral, relating thereto. No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision.

17. Changes to These Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least thirty (30) days’ notice prior to the new terms taking effect, by posting the revised Terms on the Service with a revised “Last Updated” date and, where appropriate, by notifying you via email or a prominent notice within the Service. Your continued use of the Service after the effective date of any revised Terms constitutes your acceptance of the revised Terms.
